21　会社とは何か　(20120821)
 
国営企業と私企業の区別は次のとおりです。
 
国営企業の目的は、財やサービスの提供です。あるいは、財やサービスの提供による国民の福祉です。私企業の目的は、利益の追求です。財やサービスの提供はその手段です。別の言い方をすると、私企業の目的は、財やサービスの提供による利益の追求です。
国営企業と私企業まったくおなじ財やサービスを提供しているとしても、その最終目的は異なります。
 
私企業は、財とサービスを社会に提供するという点で、社会問題を解決しようとしているといえます。しかし私企業は社会問題を解決するために作られたのではありません。それは、利益を上げるために作られたのであり、社会問題を解決することはその手段です。
 
以上が、常識的な説明になるでしょう。
 
しかし、これは正しいでしょうか。私企業の目的は、常に、利益の追求なのでしょうか。そうではないとおもいます。なぜなら、ひとが会社を作るときの目的は、利益の追求だとは限らないからです。ザッカーバークがFacebookをつくった時の理由は、単に面白いからかもしれませんし、社会を少し変えたいからかもしれません。しかし、それを推進しようとすると、一人では手が足りないので、人を雇いたいと思ったとしましょう。人を雇うには、彼らに給料を払わなければならず、そのためには会社の利益を大きくしなければなりません。さらに事業を拡大するために、さらに多く人を雇おうとすると、さらに利益を増大させなければなりません。このようにして、会社が大きくなっていくケースもたくさんあるでしょう。この場合、利益の追求は手段であって、その目的は事業をすることなのです。では、その事業とは何でしょうか。それは、何でもよいのです。その目的が、NGOやNPOの目的と同じである場合もあります。会社の場合に特長的なの条件は、その事業が同時に金儲けにもなることです。
 
企業の目的としては、次の三つ、
　①利益の追求
　②事業（ある財やサービス提供）
　③ステイクホルダー（顧客、株主、従業員）が幸せになること
が考えられるのではないでしょうか。そして、多くの企業では、この比重の違いがあれ、この三つ全てが目的になっているでしょう。
 
ただし、このような理解は、曖昧で、欺瞞的であるかもしれません。企業の本質は、やはり①利益の追求であるように思われるからです。より大きな利益を追求することは、会社にとっての本質的な性質であるようにおもわれます。より大きな利益を追求することが、会社組織にとって、構造上必然的に最優先されるようになっているのではないでしょうか。（これの証明が必要ですが、ここではとりあえず、前提しておきます。）n lang=”EN-US”>
 
このように考えるとき、会社は社会組織であると言えるのでしょうか。
 
１２回に次のように書きました。テーゼ「社会の規則や組織などは、一人では解決できず集団で取り組まなければ解決できない問題（社会問題）を解決するために作られたものであり、またそのようなものとしてのみ正当化される」
これを利用して社会組織を定義すると、「社会組織とは、社会問題を解決するために作られたものであり、またそのようなものとしてのみ正当化される組織である」となります。
 
この定義に従うなら、会社は、社会組織ではありません。会社は、社会問題を解決するために作られたものではありません。なぜなら、社会問題を解決することは利益の追求のための手段だからです。また、会社は、社会問題の解決するものとして正当化されるのでもありません。会社（の活動や存在）が正当化されるのは、社会規則に従うことによってだといえるでしょう。
 
ある会社の目的は、利益追求ではなくて、ある事業の推進であったとします。しかも、その事業は、社会問題の解決への取り組みだと言えるのであったとします。このとき、この会社は、社会問題の解決するために作られたものだと言えます。しかし、この会社は、社会問題を解決するものとして正当化されるのではありません。この会社が、社会問題の解決に失敗しているとしても、社会の法的な規範（あるいは土徳的な規範）を審判しない限り、非難されることはありません。つまり、社会問題を解決するために作られた会社であったとしても、それは社会問題の解決するものとしてのみ正当化されるのではないので、社会組織でありません。
 
さて、会社が社会組織ではないとすると、第12回で述べた私たちの見取り図は、会社が大きな役割を果たしている現代社会を理解するには不十分だということになります。では、私たちは、さきの見取り図をどのように修正したら良いのでしょうか。
 
これを考えるために、問答の観点から会社を考えてみましょう。
